Términos y Condiciones Generales

Artículo 1 – Definiciones

En estas condiciones se entenderá por:

Plazo de reflexión: El plazo dentro del cual el consumidor puede ejercer su derecho de desistimiento.

Consumidor: La persona física que no actúa en el ejercicio de una profesión o actividad empresarial y que celebra un contrato a distancia con el empresario.

Día: Día natural.

Contrato de duración determinada: Un contrato a distancia relativo a una serie de productos y/o servicios cuya obligación de entrega y/o adquisición está distribuida en el tiempo.

Soporte duradero: Cualquier medio que permita al consumidor o al empresario almacenar información que le esté dirigida personalmente, de manera que pueda recuperarla posteriormente y reproducirla sin cambios.

Derecho de desistimiento: La posibilidad de que el consumidor renuncie al contrato a distancia dentro del plazo de reflexión.

Empresario: La persona física o jurídica que ofrece productos y/o servicios a distancia a los consumidores.

Contrato a distancia: Un contrato celebrado en el marco de un sistema organizado por el empresario para la venta a distancia de productos y/o servicios, en el que, hasta la celebración del contrato, se utilizan exclusivamente una o más técnicas de comunicación a distancia.

Técnica de comunicación a distancia: Medio que puede utilizarse para celebrar un contrato sin que el consumidor y el empresario se encuentren simultáneamente en el mismo espacio.

Términos y Condiciones Generales: Los presentes Términos y Condiciones Generales del empresario.

Artículo 2 – Derecho de desistimiento

El consumidor tiene derecho a desistir del contrato sin necesidad de justificación dentro de un plazo de reflexión de 30 días. Durante el plazo de reflexión, el consumidor manejará el producto y el embalaje con cuidado.

Si el consumidor ejerce su derecho de desistimiento, devolverá el producto con todos los accesorios entregados y, en la medida de lo razonablemente posible, en su estado original, conforme a las instrucciones razonables proporcionadas por el empresario.

Artículo 3 – Aplicabilidad

Los presentes términos y condiciones generales son aplicables a toda oferta del empresario y a todo contrato a distancia y pedido celebrado entre el empresario y el consumidor.

Antes de la celebración del contrato a distancia, se pondrá a disposición del consumidor el texto de estos términos y condiciones generales. Si esto no es razonablemente posible, antes de la celebración del contrato a distancia se indicará que los términos y condiciones generales pueden consultarse en las oficinas del empresario y que se enviarán gratuitamente al consumidor, lo antes posible, a petición del mismo.

Si el contrato a distancia se celebra por vía electrónica, no obstante lo dispuesto en el apartado anterior y antes de la celebración del contrato, el texto de estos términos y condiciones generales podrá ponerse a disposición del consumidor por vía electrónica de manera que pueda ser almacenado fácilmente por el consumidor en un soporte duradero. Si esto no es razonablemente posible, antes de la celebración del contrato a distancia se indicará dónde puede consultarse el texto de los términos y condiciones generales por vía electrónica y que se enviarán gratuitamente, por vía electrónica o de otro modo, a petición del consumidor.

En caso de que, además de estos términos y condiciones generales, sean aplicables términos específicos de producto o servicio, se aplicarán de forma análoga los apartados segundo y tercero, y, en caso de contradicción entre los términos generales, el consumidor podrá invocar siempre la disposición que le resulte más favorable.

Si una o varias disposiciones de estos términos y condiciones generales fueran, en algún momento, total o parcialmente nulas o anuladas, el contrato y estos términos se mantendrán por lo demás en vigor, y la disposición correspondiente será sustituida sin demora, de mutuo acuerdo, por una disposición que se aproxime lo más posible al alcance de la original.

Las situaciones no reguladas en estos términos y condiciones generales se evaluarán «según el espíritu» de los mismos. Las ambigüedades sobre la interpretación o el contenido de una o varias disposiciones de nuestros términos también deberán interpretarse «según el espíritu» de estos términos y condiciones generales.

Artículo 4 – La oferta

Si una oferta tiene un plazo de validez limitado o se realiza bajo determinadas condiciones, esto se indicará expresamente en la oferta. La oferta es sin compromiso. El empresario tiene derecho a modificar y adaptar la oferta.

La oferta contiene una descripción completa y precisa de los productos y/o servicios ofrecidos. La descripción es suficientemente detallada para permitir al consumidor evaluar la oferta adecuadamente.

Si el empresario utiliza imágenes, estas son una representación fiel de los productos y/o servicios ofrecidos. Los errores manifiestos o equivocaciones evidentes en la oferta no vinculan al empresario.

Todas las imágenes y especificaciones de la oferta son indicativas y no pueden dar lugar a indemnización ni a la resolución del contrato.

Las imágenes de los productos son una representación fiel de los productos ofrecidos. El empresario no puede garantizar que los colores mostrados se correspondan exactamente con los colores reales de los productos.

Cada oferta contiene información suficiente para que el consumidor conozca claramente los derechos y obligaciones derivados de la aceptación de la oferta. Esto se refiere, en particular, a:

       Los posibles costes de envío.

       La forma en que se celebrará el contrato y las acciones necesarias para ello.

       La aplicabilidad o no del derecho de desistimiento.

       La forma de pago, entrega y ejecución del contrato.

       El plazo para la aceptación de la oferta o el plazo dentro del cual el empresario garantiza el precio.

       El importe de la tarifa de comunicación a distancia, si los costes del uso de la técnica de comunicación a distancia se calculan sobre una base distinta a la tarifa básica habitual del medio de comunicación utilizado.

       Si el contrato, una vez celebrado, se archivará y, en su caso, de qué manera puede ser consultado por el consumidor.

       La forma en que el consumidor, antes de celebrar el contrato, puede verificar y, si lo desea, corregir los datos facilitados en el marco del contrato.

       Los demás idiomas, además del español, en los que puede celebrarse el contrato.

       Los códigos de conducta a los que se ha sometido el empresario y la forma en que el consumidor puede consultarlos por vía electrónica.

       La duración mínima del contrato a distancia en caso de contrato de duración determinada.

Opcional: tallas disponibles, colores, tipo de materiales.

Artículo 5 – El contrato

El contrato se perfecciona, sin perjuicio de lo dispuesto en el apartado 4, en el momento de la aceptación por parte del consumidor de la oferta y del cumplimiento de las condiciones establecidas.

Si el consumidor ha aceptado la oferta por vía electrónica, el empresario confirmará sin demora, por vía electrónica, la recepción de la aceptación de la oferta. Mientras el empresario no haya confirmado la recepción de esta aceptación, el consumidor podrá rescindir el contrato.

Si el contrato se celebra por vía electrónica, el empresario tomará las medidas técnicas y organizativas adecuadas para proteger la transmisión electrónica de datos y garantizará un entorno web seguro. Si el consumidor puede pagar por vía electrónica, el empresario adoptará las medidas de seguridad oportunas.

El empresario podrá informarse —dentro de los límites legales— sobre la capacidad del consumidor para cumplir con sus obligaciones de pago, así como sobre todos los hechos y factores relevantes para celebrar el contrato a distancia de forma responsable. Si, a la luz de esta investigación, el empresario tiene motivos fundados para no celebrar el contrato, podrá rechazar de forma motivada un pedido o solicitud, o someter su ejecución a condiciones especiales.

El empresario remitirá al consumidor, junto con el producto o servicio, la siguiente información, por escrito o de forma que pueda ser almacenada de manera accesible por el consumidor en un soporte duradero:

       La dirección de visita del establecimiento del empresario al que el consumidor puede dirigir sus reclamaciones.

       Las condiciones y la forma en que el consumidor puede ejercer el derecho de desistimiento, o una indicación clara sobre la exclusión del mismo.

       La información sobre garantías y el servicio postventa existente.

       Los datos recogidos en el artículo 4, apartado 3, de estas condiciones, salvo que el empresario ya los haya facilitado al consumidor antes de la ejecución del contrato.

       Los requisitos para rescindir el contrato si este tiene una duración superior a un año o es por tiempo indefinido.

En el caso de un contrato de duración determinada, la disposición del apartado anterior solo se aplicará a la primera entrega. Cada contrato se celebrará bajo la condición suspensiva de la disponibilidad suficiente de los productos en cuestión.

Artículo 6 – Derecho de desistimiento

En la compra de productos, el consumidor tiene la posibilidad de rescindir el contrato sin necesidad de justificación durante un plazo de 30 días.

Este plazo de reflexión comienza el día siguiente a la recepción del producto por parte del consumidor o de un representante designado previamente por el consumidor y comunicado al empresario.

Durante el plazo de reflexión, el consumidor manejará el producto y el embalaje con cuidado. Solo desembalará o utilizará el producto en la medida necesaria para evaluar si desea conservarlo.

Si ejerce su derecho de desistimiento, devolverá el producto al empresario con todos los accesorios entregados y, en la medida de lo razonablemente posible, en su estado y embalaje originales, conforme a las instrucciones razonables y claras proporcionadas por el empresario.

Cuando el consumidor desee ejercer su derecho de desistimiento, estará obligado a comunicarlo al empresario dentro de los 30 días siguientes a la recepción del producto. El consumidor deberá realizar esta comunicación mediante un mensaje escrito o por correo electrónico.

Una vez que el consumidor haya comunicado su deseo de ejercer el derecho de desistimiento, deberá devolver el producto en un plazo de 30 días. El consumidor deberá demostrar que los bienes entregados se devolvieron a tiempo, por ejemplo, mediante un comprobante de envío.

Si, transcurridos los plazos mencionados en los apartados 2 y 3, el cliente no ha comunicado su deseo de ejercer el derecho de desistimiento o no ha devuelto el producto al empresario, la compra se considera definitiva.

Artículo 7 – Costes en caso de desistimiento

Si el consumidor ejerce su derecho de desistimiento, los costes de devolución de los productos correrán por cuenta del consumidor.

Si el consumidor ha abonado una cantidad, el empresario le reembolsará dicha cantidad lo antes posible, y a más tardar dentro de los 30 días siguientes al desistimiento. La condición es que el empresario ya haya recibido el producto o que pueda presentarse una prueba concluyente de la devolución completa.

Artículo 8 – Exclusión del derecho de desistimiento

El empresario podrá excluir el derecho de desistimiento del consumidor para determinados productos, conforme a lo descrito en los apartados 2 y 3. La exclusión del derecho de desistimiento solo será válida si el empresario lo ha indicado claramente en la oferta, o al menos con la suficiente antelación a la celebración del contrato.

La exclusión del derecho de desistimiento solo es posible para productos:

       Que el empresario haya elaborado conforme a las especificaciones del consumidor.

       Que sean claramente de carácter personal.

       Que, por su naturaleza, no puedan ser devueltos.

       Que puedan deteriorarse o caducar rápidamente.

       Cuyo precio esté sujeto a fluctuaciones del mercado financiero sobre las que el empresario no tenga influencia.

       Para periódicos y revistas sueltos.

       Para grabaciones de audio y vídeo y programas informáticos cuyo precinto haya sido roto por el consumidor.

       Para productos higiénicos cuyo precinto haya sido roto por el consumidor.

Artículo 9 – El precio

Durante el plazo de validez indicado en la oferta, los precios de los productos y/o servicios ofrecidos no se incrementarán, salvo modificaciones de precio derivadas de cambios en los tipos de IVA.

No obstante lo dispuesto en el apartado anterior, el empresario podrá ofrecer con precios variables aquellos productos o servicios cuyos precios estén sujetos a fluctuaciones del mercado financiero sobre las que no tenga influencia. Esta vinculación a fluctuaciones y el hecho de que los precios indicados sean precios orientativos se mencionarán en la oferta.

Los aumentos de precio dentro de los tres meses siguientes a la celebración del contrato solo se permiten si son consecuencia de regulaciones o disposiciones legales.

Los aumentos de precio a partir de los tres meses siguientes a la celebración del contrato solo se permiten si el empresario lo ha estipulado y:

       Son consecuencia de regulaciones o disposiciones legales.

       El consumidor tiene la facultad de rescindir el contrato a partir del día en que entre en vigor el aumento de precio.

Todos los precios están sujetos a errores de imprenta y composición. No se acepta responsabilidad alguna por las consecuencias de errores de imprenta o composición. En caso de errores de imprenta o composición, el empresario no está obligado a entregar el producto al precio incorrecto.

Artículo 10 – Conformidad y garantía

El empresario garantiza que los productos y/o servicios cumplen con el contrato, con las especificaciones indicadas en la oferta, con los requisitos razonables de fiabilidad y/o utilidad y con las disposiciones legales y/o normas administrativas vigentes en la fecha de celebración del contrato. Si así se acuerda, el empresario también garantiza que el producto es apto para un uso distinto del normal.

La garantía otorgada por el empresario, el fabricante o el importador no afecta a los derechos y reclamaciones legales que el consumidor pueda hacer valer frente al empresario en virtud del contrato.

Los posibles defectos o productos entregados incorrectamente deberán comunicarse por escrito al empresario en un plazo de 30 días desde la entrega. La devolución de los productos deberá realizarse en su embalaje original y en estado de nuevo.

El plazo de garantía del empresario coincide con el plazo de garantía del fabricante. No obstante, el empresario nunca será responsable de la adecuación final de los productos para cada aplicación individual por parte del consumidor, ni de cualquier consejo sobre el uso o aplicación de los productos.

La garantía no se aplica si:

       El consumidor ha reparado y/o modificado por sí mismo los productos entregados, o los ha hecho reparar y/o modificar por terceros.

       Los productos entregados han estado expuestos a condiciones anómalas o se han manipulado de forma negligente o contraria a las instrucciones del empresario y/o a las indicaciones del embalaje.

       La defectuosidad es total o parcialmente consecuencia de disposiciones que el gobierno haya establecido o vaya a establecer sobre la naturaleza o calidad de los materiales utilizados.

Artículo 11 – Entrega y ejecución

El empresario actuará con la máxima diligencia al recibir y ejecutar los pedidos de productos.

Sin perjuicio de lo dispuesto al respecto en el artículo 4 de estos términos y condiciones generales, la empresa ejecutará los pedidos aceptados con la debida prontitud y, a más tardar, dentro de los 30 días, salvo que el consumidor haya aceptado un plazo de entrega más largo.

Si la entrega sufre retrasos, o si un pedido no puede ejecutarse o solo puede ejecutarse parcialmente, el consumidor recibirá notificación al respecto a más tardar 30 días después de haber realizado el pedido. En tal caso, el consumidor tendrá derecho a rescindir el contrato sin coste alguno y derecho a una posible indemnización por daños y perjuicios.

En caso de resolución conforme al apartado anterior, el empresario reembolsará la cantidad pagada por el consumidor lo antes posible, y a más tardar dentro de los 30 días siguientes a la resolución.

Si la entrega de un producto pedido resulta imposible, el empresario se esforzará por poner a disposición un artículo de sustitución. A más tardar en el momento de la entrega, se comunicará de forma clara y comprensible que se entrega un artículo de sustitución.

En el caso de artículos de sustitución, no podrá excluirse el derecho de desistimiento. Los costes de una eventual devolución correrán por cuenta del empresario.

El riesgo de daño y/o pérdida de los productos corresponde al empresario hasta el momento de la entrega al consumidor o a un representante designado previamente y comunicado al empresario, salvo que se acuerde expresamente lo contrario.

Artículo 12 – Contratos de duración determinada: duración, rescisión y prórroga

Rescisión

El consumidor podrá rescindir en cualquier momento un contrato celebrado por tiempo indefinido y destinado a la entrega regular de productos (incluida la electricidad) o servicios, respetando las normas de rescisión acordadas y con un preaviso máximo de un mes.

El consumidor podrá rescindir en cualquier momento, al final del plazo determinado, un contrato celebrado por tiempo determinado y destinado a la entrega regular de productos (incluida la electricidad) o servicios, respetando las normas de rescisión acordadas y con un preaviso máximo de un mes.

El consumidor podrá rescindir los contratos mencionados en los apartados anteriores:

       en cualquier momento y no estará limitado a la rescisión en una fecha o periodo determinado;

       al menos de la misma forma en la que los celebró;

       siempre con el mismo preaviso que el empresario haya estipulado para sí mismo.

Prórroga

Un contrato celebrado por tiempo determinado y destinado a la entrega regular de productos (incluida la electricidad) o servicios no podrá prorrogarse o renovarse de forma tácita por un periodo determinado.

No obstante lo dispuesto en el apartado anterior, un contrato celebrado por tiempo determinado y destinado a la entrega regular de diarios, semanarios y revistas podrá prorrogarse de forma tácita por un periodo determinado máximo de tres meses, siempre que el consumidor pueda rescindir el contrato prorrogado al final de la prórroga con un preaviso máximo de un mes.

Un contrato celebrado por tiempo determinado y destinado a la entrega regular de productos o servicios solo podrá prorrogarse de forma tácita por tiempo indefinido si el consumidor puede rescindirlo en todo momento con un preaviso máximo de un mes, y un preaviso máximo de tres meses en caso de que el contrato consista en la entrega regular —pero menos de una vez al mes— de diarios, semanarios y revistas.

Un contrato de duración limitada para la entrega regular de diarios, semanarios y revistas a modo de muestra (suscripción de prueba o de introducción) no se prorroga de forma tácita y finaliza automáticamente tras la compra del periodo de prueba o introducción.

Duración

Si un contrato tiene una duración superior a un año, el consumidor podrá rescindirlo en cualquier momento, transcurrido un año, con un preaviso máximo de un mes, salvo que la razonabilidad y la equidad se opongan a la rescisión antes del fin de la duración acordada.

Artículo 13 – Pago

Salvo que se acuerde lo contrario, las cantidades adeudadas por el consumidor deberán pagarse dentro de los siete días hábiles siguientes al inicio del plazo de reflexión a que se refiere el artículo 6, apartado 1.

En caso de contrato de prestación de servicios, este plazo comienza una vez que el consumidor ha recibido la confirmación del contrato.

El consumidor tiene la obligación de comunicar sin demora al empresario las inexactitudes en los datos de pago facilitados o indicados.

En caso de impago por parte del consumidor, el empresario tiene derecho, sin perjuicio de las limitaciones legales, a cobrar los costes razonables que haya comunicado previamente al consumidor.

Artículo 14 – Procedimiento de reclamaciones

Las reclamaciones sobre la ejecución del contrato deberán presentarse al empresario de forma completa y claramente descrita, dentro de los siete días siguientes a que el consumidor haya constatado los defectos.

Las reclamaciones presentadas al empresario serán respondidas en un plazo de 14 días contados desde la fecha de recepción.

Si una reclamación requiere un tiempo de tramitación previsiblemente más largo, el empresario responderá dentro del plazo de 14 días con un acuse de recibo y una indicación de cuándo el consumidor puede esperar una respuesta más detallada.

Si la reclamación no puede resolverse de mutuo acuerdo, surgirá una disputa susceptible de procedimiento de resolución de disputas.

Una reclamación no suspende las obligaciones del empresario, salvo que el empresario indique lo contrario por escrito.

Si el empresario considera fundada una reclamación, sustituirá o reparará gratuitamente, a su elección, los productos entregados.

Artículo 15 – Disputas

A los contratos entre el empresario y el consumidor a los que se refieren estos términos y condiciones generales les será aplicable exclusivamente el Derecho neerlandés.

Esto será así incluso cuando el consumidor resida en el extranjero.


 

 

General Terms and Conditions

Article 1 – Definitions

In these terms and conditions, the following definitions apply:

Cooling-off period: The period within which the consumer can exercise their right of withdrawal.

Consumer: The natural person who is not acting in the course of a profession or business and enters into a distance contract with the entrepreneur.

Day: Calendar day.

Extended duration transaction: A distance contract relating to a series of products and/or services, the delivery and/or purchase obligation of which is spread over time.

Durable medium: Any means that enables the consumer or entrepreneur to store information personally addressed to them in a way that allows future consultation and unchanged reproduction of the stored information.

Right of withdrawal: The consumer’s right to withdraw from the distance contract within the cooling-off period.

Entrepreneur: The natural or legal person who offers products and/or services at a distance to consumers.

Distance contract: A contract concluded under an organised system for distance sales of products and/or services operated by the entrepreneur, in which, up to and including the conclusion of the contract, exclusive use is made of one or more techniques of distance communication.

Technique of distance communication: A means that can be used to conclude a contract without the consumer and entrepreneur being physically present in the same place at the same time.

General Terms and Conditions: The present General Terms and Conditions of the entrepreneur.

Article 2 – Right of withdrawal

The consumer has the right to withdraw from the contract within a cooling-off period of 30 days without giving any reason. During the cooling-off period, the consumer will handle the product and packaging with care.

If the consumer exercises their right of withdrawal, they will return the product with all delivered accessories and, if reasonably possible, in its original condition, in accordance with the entrepreneur’s reasonable instructions.

Article 3 – Applicability

These general terms and conditions apply to every offer from the entrepreneur and to every distance contract and order concluded between the entrepreneur and the consumer.

Before the distance contract is concluded, the text of these general terms and conditions will be made available to the consumer. If this is not reasonably possible, it will be indicated before the distance contract is concluded that the general terms and conditions can be inspected at the entrepreneur’s premises and that they will be sent to the consumer free of charge upon request.

If the distance contract is concluded electronically, the text of these general terms and conditions may be made available to the consumer electronically before the distance contract is concluded, in such a way that the consumer can easily store it on a durable medium. If this is not reasonably possible, it will be indicated before the distance contract is concluded where the general terms and conditions can be consulted electronically and that they will be sent free of charge electronically or otherwise upon the consumer’s request.

Where, in addition to these general terms and conditions, specific product or service terms also apply, the second and third paragraphs apply mutatis mutandis and, in the event of conflicting general terms, the consumer may always invoke the provision most favourable to them.

If one or more provisions in these general terms and conditions are at any time wholly or partly null and void or annulled, the contract and these terms will otherwise remain in force, and the relevant provision will be replaced without delay by mutual agreement with a provision that approximates the intent of the original as closely as possible.

Situations not covered by these general terms and conditions must be assessed "in the spirit" of these general terms and conditions. Any ambiguity about the interpretation or content of one or more provisions of our terms must also be interpreted "in the spirit" of these general terms and conditions.

Article 4 – The offer

If an offer has a limited period of validity or is subject to conditions, this will be expressly stated in the offer. The offer is without obligation. The entrepreneur is entitled to modify and adapt the offer.

The offer contains a complete and accurate description of the products and/or services offered. The description is sufficiently detailed to allow the consumer to assess the offer properly.

If the entrepreneur uses images, these are a true representation of the products and/or services offered. Obvious mistakes or obvious errors in the offer do not bind the entrepreneur.

All images and specifications in the offer are indicative and cannot give rise to compensation or termination of the contract.

Images of products are a true representation of the products offered. The entrepreneur cannot guarantee that the colours displayed exactly match the actual colours of the products.

Each offer contains such information that it is clear to the consumer what rights and obligations are attached to the acceptance of the offer. This concerns in particular:

       Any shipping costs.

       The way in which the contract will be concluded and which actions are required for this.

       Whether or not the right of withdrawal applies.

       The method of payment, delivery and performance of the contract.

       The period for acceptance of the offer, or the period within which the entrepreneur guarantees the price.

       The amount of the distance communication tariff if the costs of using the technique of distance communication are calculated on a basis other than the regular basic rate for the means of communication used.

       Whether the contract will be archived after conclusion and, if so, how it can be consulted by the consumer.

       The way in which the consumer can check and, if desired, correct the data provided under the contract before concluding it.

       Any other languages in which, in addition to Spanish, the contract can be concluded.

       The codes of conduct to which the entrepreneur has subscribed and the way in which the consumer can consult these codes of conduct electronically.

       The minimum duration of the distance contract in the case of an extended-duration transaction.

Optional: available sizes, colours, materials.

Article 5 – The contract

Subject to the provisions of paragraph 4, the contract is concluded at the moment the consumer accepts the offer and fulfils the related conditions.

If the consumer has accepted the offer electronically, the entrepreneur will promptly confirm receipt of the acceptance of the offer electronically. As long as the receipt of this acceptance has not been confirmed by the entrepreneur, the consumer can rescind the contract.

If the contract is concluded electronically, the entrepreneur will take appropriate technical and organisational measures to protect the electronic transmission of data and will ensure a secure web environment. If the consumer can pay electronically, the entrepreneur will observe appropriate security measures.

Within legal limits, the entrepreneur may inform itself about the consumer’s ability to meet their payment obligations, as well as all facts and factors relevant to responsibly entering into the distance contract. If, on the basis of this investigation, the entrepreneur has reasonable grounds not to conclude the contract, it is entitled to refuse an order or request with reasons or to attach special conditions to the performance.

Together with the product or service, the entrepreneur will provide the consumer with the following information in writing or in such a way that it can be stored in an accessible manner by the consumer on a durable medium:

       The visiting address of the entrepreneur’s establishment where the consumer can submit complaints.

       The conditions under which and the way in which the consumer can exercise the right of withdrawal, or a clear notification that the right of withdrawal is excluded.

       Information about warranties and existing after-sales service.

       The information referred to in Article 4(3) of these terms, unless the entrepreneur has already provided this information to the consumer before the performance of the contract.

       The requirements for terminating the contract if the contract has a duration of more than one year or is indefinite.

In the case of an extended-duration transaction, the previous paragraph applies only to the first delivery. Every contract is concluded subject to the suspensive condition of sufficient availability of the relevant products.

Article 6 – Right of withdrawal

When purchasing products, the consumer has the option to dissolve the contract without giving reasons during a period of 30 days.

This cooling-off period starts on the day after the consumer, or a representative designated in advance by the consumer and known to the entrepreneur, receives the product.

During the cooling-off period, the consumer will handle the product and packaging with care. The consumer will only unpack or use the product to the extent necessary to assess whether they wish to keep it.

If the consumer exercises their right of withdrawal, they will return the product to the entrepreneur with all delivered accessories and — if reasonably possible — in its original condition and packaging, in accordance with the entrepreneur’s reasonable and clear instructions.

When the consumer wishes to exercise their right of withdrawal, they are obliged to notify the entrepreneur within 30 days of receipt of the product. The consumer must do this by means of a written notice or e-mail.

After the consumer has stated their wish to exercise the right of withdrawal, the customer must return the product within 30 days. The consumer must prove that the delivered goods were returned in time, for example by means of proof of shipment.

If, after the periods mentioned in paragraphs 2 and 3, the customer has not stated their wish to exercise the right of withdrawal or has not returned the product to the entrepreneur, the purchase is final.

Article 7 – Costs in the event of withdrawal

If the consumer exercises their right of withdrawal, the costs of returning the products will be borne by the consumer.

If the consumer has paid an amount, the entrepreneur will refund this amount as soon as possible, but no later than 30 days after withdrawal. This is subject to the condition that the product has been received back by the entrepreneur or that conclusive proof of complete return can be provided.

Article 8 – Exclusion of the right of withdrawal

The entrepreneur may exclude the consumer’s right of withdrawal for certain products as described in paragraphs 2 and 3. The exclusion of the right of withdrawal only applies if the entrepreneur has clearly stated this in the offer, or at least in good time before the conclusion of the contract.

Exclusion of the right of withdrawal is only possible for products:

       which have been produced by the entrepreneur in accordance with the consumer’s specifications;

       which are clearly personal in nature;

       which by their nature cannot be returned;

       which can deteriorate or age quickly;

       the price of which is bound by fluctuations in the financial market over which the entrepreneur has no influence;

       for individual newspapers and magazines;

       for audio and video recordings and computer software the seal of which has been broken by the consumer;

       for hygienic products the seal of which has been broken by the consumer.

Article 9 – Price

During the validity period stated in the offer, the prices of the products and/or services offered will not be increased, except for price changes resulting from changes in VAT rates.

Notwithstanding the previous paragraph, the entrepreneur may offer products or services with variable prices when those prices are subject to fluctuations in the financial market over which the entrepreneur has no influence. The link to such fluctuations and the fact that any stated prices are target prices will be mentioned in the offer.

Price increases within three months after the conclusion of the contract are only permitted if they result from statutory regulations or provisions.

Price increases starting three months after the conclusion of the contract are only permitted if the entrepreneur has stipulated this and:

       they result from statutory regulations or provisions; or

       the consumer has the authority to terminate the contract effective the day on which the price increase takes effect.

All prices are subject to printing and typesetting errors. No liability is accepted for the consequences of printing and typesetting errors. In the event of printing and typesetting errors, the entrepreneur is not obliged to deliver the product at the incorrect price.

Article 10 – Conformity and warranty

The entrepreneur warrants that the products and/or services comply with the contract, the specifications stated in the offer, the reasonable requirements of soundness and/or usability, and the statutory provisions and/or government regulations existing at the time the contract was concluded. If agreed, the entrepreneur also warrants that the product is suitable for use other than normal use.

A warranty provided by the entrepreneur, manufacturer or importer does not affect the legal rights and claims the consumer can assert against the entrepreneur on the basis of the contract.

Any defects or incorrectly delivered products must be reported in writing to the entrepreneur within 30 days of delivery. The products must be returned in their original packaging and in new condition.

The entrepreneur’s warranty period corresponds to the manufacturer’s warranty period. However, the entrepreneur is never responsible for the ultimate suitability of the products for each individual application by the consumer, nor for any advice regarding the use or application of the products.

The warranty does not apply if:

       the consumer has repaired and/or modified the delivered products themselves or has had them repaired and/or modified by third parties;

       the delivered products have been exposed to abnormal conditions or have otherwise been handled carelessly or contrary to the entrepreneur’s instructions and/or the packaging instructions;

       the unsoundness is wholly or partly the result of regulations that the government has imposed or will impose on the nature or quality of the materials used.

Article 11 – Delivery and performance

The entrepreneur will exercise the greatest possible care when receiving and executing orders for products.

With due observance of what is stated in Article 4 of these general terms and conditions, the company will execute accepted orders expeditiously and at the latest within 30 days, unless the consumer has agreed to a longer delivery period.

If delivery is delayed, or if an order cannot be executed or can only be executed partially, the consumer will be notified no later than 30 days after placing the order. In that case, the consumer is entitled to dissolve the contract free of charge and entitled to any compensation.

In the event of dissolution in accordance with the previous paragraph, the entrepreneur will refund the amount paid by the consumer as soon as possible, but no later than within 30 days after the dissolution.

If delivery of an ordered product proves impossible, the entrepreneur will endeavour to make a replacement item available. No later than at the time of delivery, it will be communicated in a clear and comprehensible manner that a replacement item will be delivered.

In the case of replacement items, the right of withdrawal cannot be excluded. The costs of any return shipment are at the entrepreneur’s expense.

The risk of damage and/or loss of products rests with the entrepreneur until the moment of delivery to the consumer or a previously designated representative known to the entrepreneur, unless expressly agreed otherwise.

Article 12 – Extended duration transactions: duration, termination and renewal

Termination

The consumer may terminate a contract entered into for an indefinite period and which provides for the regular delivery of products (including electricity) or services at any time, subject to the agreed termination rules and a notice period of no more than one month.

The consumer may terminate a contract entered into for a fixed period and which provides for the regular delivery of products (including electricity) or services at any time as of the end of the fixed term, subject to the agreed termination rules and a notice period of no more than one month.

The consumer can terminate the contracts referred to in the previous paragraphs:

       at any time, without being restricted to termination at a particular time or in a particular period;

       at least in the same manner as they were concluded;

       always with the same notice period that the entrepreneur has stipulated for itself.

Renewal

A contract entered into for a fixed period and which provides for the regular delivery of products (including electricity) or services may not be tacitly renewed or extended for a fixed period.

Notwithstanding the previous paragraph, a contract entered into for a fixed period and which provides for the regular delivery of daily, weekly and news papers and magazines may be tacitly renewed for a fixed term of up to three months, provided that the consumer can terminate the renewed contract at the end of the renewal with a notice period of no more than one month.

A contract entered into for a fixed period and which provides for the regular delivery of products or services may only be tacitly renewed for an indefinite period if the consumer can terminate at any time with a notice period of no more than one month, and a notice period of no more than three months in the case of regular but less than monthly delivery of daily, weekly and news papers and magazines.

A contract of limited duration for the regular trial delivery of daily, weekly and news papers and magazines (trial or introductory subscription) is not tacitly continued and ends automatically after the trial or introductory period.

Duration

If a contract has a duration of more than one year, the consumer may terminate the contract at any time after one year with a notice period of no more than one month, unless reasonableness and fairness oppose termination before the end of the agreed term.

Article 13 – Payment

Unless otherwise agreed, amounts owed by the consumer must be paid within seven working days after the start of the cooling-off period referred to in Article 6(1).

In the case of a contract for the provision of a service, this period starts after the consumer has received confirmation of the contract.

The consumer is obliged to immediately report any inaccuracies in the payment data provided or stated to the entrepreneur.

In the event of non-payment by the consumer, the entrepreneur is entitled, subject to statutory limitations, to charge the reasonable costs that have been communicated to the consumer in advance.

Article 14 – Complaints procedure

Complaints about the performance of the contract must be submitted to the entrepreneur, fully and clearly described, within seven days after the consumer has discovered the defects.

Complaints submitted to the entrepreneur will be answered within 14 days of the date of receipt.

If a complaint requires a foreseeably longer processing time, the entrepreneur will respond within the 14-day period with an acknowledgement of receipt and an indication of when the consumer can expect a more detailed answer.

If the complaint cannot be resolved by mutual agreement, a dispute arises which is subject to the dispute resolution procedure.

A complaint does not suspend the entrepreneur’s obligations, unless the entrepreneur indicates otherwise in writing.

If a complaint is found to be justified by the entrepreneur, the entrepreneur will, at its discretion, either replace or repair the delivered products free of charge.

Article 15 – Disputes

Dutch law applies exclusively to contracts between the entrepreneur and the consumer to which these general terms and conditions relate.

This is the case even if the consumer resides abroad.
